Terms of Use

1. Acceptance of Terms

By accessing or using the IVALION by Imersa VRTOOLS AI platform ("IVALION", "Platform"), including the website ivalion.com, immersive environments, artificial intelligence avatars (MYAI), data intelligence dashboard (GENESIS), and any related services, the User declares that they have read, understood, and fully agree with these Terms of Use. If the User does not agree with any provision, they must immediately cease using the Platform.

2. Definitions

For the purposes of these Terms of Use, the following definitions apply:

• •"IVALION" or "Platform": refers to the set of technologies, services, and products offered by IVALION by Imersa VRTOOLS AI, including immersive environments, AI avatars (MYAI), data infrastructure (GENESIS), and institutional website.
• •"User": any individual or legal entity that accesses or uses the Platform, including website visitors, leads, developers, brokers, and end clients.
• •"Developer": a real estate company that contracts IVALION's services for the implementation of intelligent sales infrastructure.
• •"Broker": a real estate professional who uses the Platform as a service and conversion tool.
• •"End Client": an individual who interacts with immersive environments and AI avatars to explore real estate developments.

3. Description of Services

IVALION offers an AI-driven sales infrastructure for the real estate market, composed of three integrated pillars:

• a)IMERSA (Immersive Environments): photorealistic digital twins of real estate developments, accessible via web and mobile devices, with no app installation required.
• b)MYAI (AI Avatars): intelligent virtual agents that guide, qualify, and serve clients in real time within immersive environments, with simultaneous translation and cultural adaptation capabilities.
• c)GENESIS (Data Infrastructure): commercial intelligence platform that processes behavioral data, generates heat maps, purchase intent reports, and decision dashboards for developers.

4. User Registration and Account

To access certain features of the Platform, the User may be required to provide registration information, including name, corporate email, company, position, and real estate launch size. The User is responsible for the accuracy and updating of the information provided. IVALION reserves the right to suspend or terminate accounts that contain false, incomplete, or fraudulent information.

5. Intellectual Property

All content on the IVALION Platform, including but not limited to software, artificial intelligence algorithms, 3D models, immersive environments, avatars, interfaces, texts, graphics, logos, trademarks, trade names, databases, and technical documentation, is the exclusive property of IVALION by Imersa VRTOOLS AI or its licensors, protected by Brazilian and international intellectual property laws, including Law No. 9,610/1998 (Copyright), Law No. 9,279/1996 (Industrial Property), and applicable international treaties.

It is expressly prohibited to reproduce, copy, modify, distribute, transmit, display, license, create derivative works, sell, or commercially exploit any content of the Platform without prior written authorization from IVALION.

6. Acceptable Use

The User agrees to use the Platform in an ethical, legal manner and in compliance with these Terms. The following is expressly prohibited:

• I.Using the Platform for illegal, fraudulent purposes or in violation of third-party rights;
• II.Reverse engineering, decompiling, or disassembling any component of the Platform;
• III.Interfering with the security, integrity, or performance of the Platform;
• IV.Collecting data from other users without consent;
• V.Using bots, scrapers, or automated tools to access the Platform without authorization;
• VI.Reproducing or distributing content generated by the Platform without express authorization.

7. Artificial Intelligence and Behavioral Data

The User acknowledges and agrees that the IVALION Platform uses artificial intelligence technologies to process interactions within immersive environments. Behavioral data collected — including navigation patterns, dwell time, areas of interest, and avatar interactions — is processed by the GENESIS infrastructure to generate aggregated and anonymized commercial insights. This data is not used to individually identify the User, except when expressly authorized.

8. Limitation of Liability

IVALION makes its best efforts to keep the Platform available, secure, and functional. However, IVALION does not guarantee that the service will be uninterrupted, error-free, or completely secure. To the maximum extent permitted by applicable law, IVALION shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use the Platform, including loss of profits, data, or business opportunities.

IVALION's total liability, in any case, shall be limited to the amount actually paid by the User in the 12 months preceding the event giving rise to the claim.

9. Indemnification

The User agrees to indemnify, defend, and hold harmless IVALION, its directors, employees, agents, and partners from any claims, damages, losses, costs, or expenses (including attorney's fees) arising from misuse of the Platform, violation of these Terms, or infringement of third-party rights.

10. Modifications to Terms

IVALION reserves the right to modify these Terms of Use at any time. Substantial changes will be communicated by email or by a prominent notice on the Platform with a minimum of 30 days' advance notice. Continued use of the Platform after publication of changes constitutes acceptance of the new Terms.

11. Termination

IVALION may suspend or terminate the User's access to the Platform at any time and without prior notice in the event of a violation of these Terms of Use, fraudulent use, or any conduct that compromises the security or integrity of the Platform. The User may terminate their account at any time by contacting IVALION support.

12. Applicable Law and Jurisdiction

These Terms of Use are governed by the laws of the Federative Republic of Brazil. For Users located in Brazil, the courts of São Paulo, SP, are elected as competent to resolve any disputes arising from these Terms, waiving any other, however privileged. For Users located in the European Union, the mandatory consumer protection provisions of the User's country of residence apply, as provided in Regulation (EC) No. 593/2008 (Rome I).

13. General Provisions

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect. IVALION's failure to exercise any right provided in these Terms shall not constitute a waiver of such right. These Terms constitute the entire agreement between the User and IVALION regarding the use of the Platform, superseding any prior agreements, written or oral.
